Terms of Use

Paynex provides a software-based payment orchestration platform ("Platform") that enables businesses to access cross-border payout infrastructure through licensed banking, compliance, and settlement partners. Paynex is not a bank, licensed money transmitter, e-money institution, or regulated financial institution. Regulated financial services — including banking, fund custody, KYC/KYB compliance operations, and payment transmission — are provided exclusively by licensed third-party infrastructure partners. These partners operate under their own licenses, regulatory authorizations, and terms of service, which apply independently of these Terms. By accessing or using the Paynex Platform or website, you agree to be bound by these Terms of Use.

Use of the Paynex Platform is limited to businesses and individuals who: are of legal age and capacity to enter into binding agreements in their jurisdiction; have completed any required verification processes administered by our licensed compliance partners; and are not located in a jurisdiction subject to applicable trade sanctions or export control restrictions. Paynex reserves the right to decline or terminate access at any time, including where required by partner compliance requirements.

Paynex grants you a limited, non-exclusive, non-transferable right to access and use the Platform for your authorized business purposes, subject to these Terms. You agree not to: reverse engineer, copy, or modify any part of the Platform; use the Platform for unlawful purposes or in violation of applicable regulations; attempt to gain unauthorized access to Platform systems or infrastructure; transmit malicious code, spam, or disruptive content; or misrepresent your identity or business activities during onboarding or in connection with any transaction.

Regulated financial services accessed through the Platform — including banking, account custody, KYC/KYB verification, AML monitoring, and payment transmission — are performed by licensed third-party partners, not by Paynex. By using the Platform, you acknowledge that: Paynex does not hold your funds; Paynex does not directly execute payment transmissions; compliance operations are performed by licensed partners; and the terms and conditions of the relevant licensed partner apply to those regulated services.

Applicable fees for Platform access and payout services will be disclosed prior to activation. Fees related to regulated financial services (including banking and transmission fees) are set by the relevant licensed infrastructure partners and are separate from Paynex platform fees. All fees are non-refundable unless otherwise required by applicable law or expressly stated in your service agreement.

All intellectual property rights in the Platform, including software, design, documentation, and branding, are owned by or licensed to Paynex. Nothing in these Terms transfers any intellectual property rights to you. You grant Paynex a limited license to use any feedback, suggestions, or technical information you provide solely for the purpose of improving the Platform.

To the fullest extent permitted by applicable law, Paynex shall not be liable for: indirect, incidental, special, or consequential damages arising from use of the Platform; losses arising from actions or omissions of licensed infrastructure partners; delays or failures in payment processing caused by third-party networks or partner infrastructure; or unauthorized access to your account where you have failed to maintain reasonable credential security. Paynex's aggregate liability for any claim arising from these Terms shall not exceed the fees paid by you in the three months preceding the claim.

The Platform is provided "as is" and "as available." Paynex makes no warranties, express or implied, regarding the Platform's fitness for a particular purpose, uninterrupted availability, or accuracy of information. Paynex does not provide financial, legal, tax, or investment advice. Nothing on the Platform or website constitutes a financial product offering.

Either party may terminate access to the Platform with appropriate notice. Paynex may suspend or terminate access immediately where required by law, compliance requirements, partner obligations, or in cases of material breach of these Terms. Upon termination, your right to access the Platform ceases. Provisions that by their nature survive termination (including intellectual property, limitation of liability, and governing law) remain in effect.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Delaware.

We may update these Terms from time to time. Material changes will be communicated through the Platform or by email with reasonable notice. Continued use of the Platform after the effective date of changes constitutes acceptance.
